Select 2 companies from among those where members of your group have worked. ( 2 companies are TCS and INFOSYS) Submit a report with an analysis of the way these companies are governed.

The idea is to present a critical analysis, and not just to present data. While the following do not constitute a comprehensive list, you could look at the following aspects in respect of the firms you have chosen.

Implications of the shareholding patterns of the companies The controlling shareholders, if there are any Other large shareholders Composition of the senior management team Potential agency concerns How the company is governed such that the interests of major stakeholders are protected Composition of the Board of Directors Whether you see any concerns or areas for improvement A comparison of the two companies on one or more of the above aspects. You can get information for the above from sources like annual reports, company websites, stock exchange websites (where companies files reports), databases available in the institute (like Prowess, Bloomberg, Ace Equity, etc), new items, etc Submission to be in the form of a Word/ pdf file.

You can attach a spreadsheet also if you like, but evaluation would be focused more on the Word/ pdf file. Specs for Word/ pdf document: Double spaced, Times New Roman 12 pt, not to exceed three pages (so, make your words count). If required, include appendices, but work on the assumption that they will not be evaluated.
